Welcome to Joy Bridge Care, LLC. These Terms of Service ("Terms") govern your use of our website (www.joybridgecare.com) and the fiscal intermediary services we provide. By accessing our website or using our services, you agree to be bound by these Terms.

1. About Our Services

Joy Bridge Care, LLC is a fiscal intermediary (FI) and financial management services (FMS) provider serving participants in Georgia's Medicaid waiver programs, including:

• Community Care Services Program (CCSP)
• Independent Care Waiver Program (ICWP)
• New Options Waiver (NOW) and Comprehensive Supports Waiver Program (COMP)
• Service Options Using Resources in a Community Environment (SOURCE)

Our services include payroll processing, tax withholding, caregiver onboarding documentation, timesheet management, and compliance reporting. We do not provide direct medical care, clinical services, or nursing care.

2. Eligibility and User Responsibilities

Eligibility

Our services are available to participants enrolled in Georgia Medicaid waiver programs who have been authorized to use participant-directed services. By using our services, you represent that:

• You are at least 18 years of age
• You have the legal authority to enter into these Terms (either personally or on behalf of a participant as their authorized representative)
• All information you provide is accurate, current, and complete

User Responsibilities

You agree to:

• Provide accurate and truthful information
• Maintain the confidentiality of any account credentials
• Notify us promptly of any unauthorized access to your account
• Use our website and services only for lawful purposes and in accordance with these Terms
• Comply with all applicable federal, state, and local laws and regulations

3. Website Use and Intellectual Property

License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes related to our services. This license does not include:

• Modifying, copying, or distributing any content from our website
• Using any automated systems (bots, scrapers) to access our website
• Attempting to interfere with or disrupt our website's operation
• Removing or altering any proprietary notices on our website

4. Appointment Scheduling

Our website offers online appointment scheduling for consultations and service inquiries. By scheduling an appointment:

• You consent to receive appointment confirmations and reminders via email
• If you opt in, you consent to receive SMS reminders (standard message rates may apply)
• You agree to provide accurate contact information for scheduling purposes
• You understand appointments are subject to availability and may be rescheduled

We reserve the right to cancel or reschedule appointments as necessary. We will make reasonable efforts to notify you of any changes.

5. Cancellation and Rescheduling Policy

We understand that plans change. Our cancellation and rescheduling policy is as follows:

Cancellations

• 24+ hours in advance: No penalty. Full refund if any payment was made.
• Less than 24 hours (late cancellation): May be subject to an administrative fee of up to $25 to cover scheduling costs.
• No-show: Failure to attend a scheduled appointment without prior notice may result in a no-show fee of up to $50.

Rescheduling

Appointments may be rescheduled at no charge with at least 24 hours' notice. Rescheduling requests within 24 hours are treated as late cancellations.

Refunds

Refunds for prepaid services will be processed within 10 business days. Administrative fees are non-refundable.

Emergency Exceptions

We recognize that emergencies happen. Medical emergencies, severe weather, or other extraordinary circumstances will be handled on a case-by-case basis. Please contact us as soon as possible at (678) 523-4807.

6. Service Fees and Payment

Fiscal intermediary services provided under Georgia Medicaid waiver programs are typically funded through program budgets. Any additional services or fees will be clearly disclosed before you incur charges.

Payment terms for any billable services will be specified in a separate service agreement.

No Medical Advice

Joy Bridge Care provides fiscal intermediary and financial management services only. Nothing on our website or in our services constitutes medical advice, diagnosis, or treatment. For medical concerns, please consult a qualified healthcare provider.

8. Limitation of Liability

Our total liability for any claim arising from these Terms or your use of our services shall not exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the claim, or (b) $500. This limitation does not apply to claims arising from our gross negligence, willful misconduct, or violations of applicable health privacy laws (HIPAA).

You agree to indemnify, defend, and hold harmless Joy Bridge Care, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your use of our website or services
• Your violation of any third-party rights
• Any content you submit to us

10. Termination

We may terminate or suspend your access to our website or services at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Upon termination, your right to use our website ceases immediately. Sections of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) shall survive.

11. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

Informal Resolution

Before filing any formal dispute, you agree to first contact us to attempt to resolve the issue informally. Most concerns can be resolved this way.

Arbitration

Any dispute arising from these Terms that cannot be resolved informally shall be resolved through binding arbitration in Gwinnett County, Georgia, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

Arbitration Exclusions

The following claims are excluded from binding arbitration and may be brought in any court of competent jurisdiction:

• Claims involving HIPAA violations or protected health information
• Claims involving ADA accessibility violations
• Claims seeking injunctive or other equitable relief
• Small claims court actions (claims under $10,000)
• Claims by either party to enforce intellectual property rights

Arbitration Opt-Out

You may opt out of the arbitration provision by sending written notice to admin@joybridgecare.com within 30 days of first accessing our website or using our services. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, you may pursue claims in court, subject to applicable law.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

We may update these Terms from time to time. The updated version will be indicated by the "Last Updated" date at the top of this page. Your continued use of our website or services after any changes constitutes acceptance of the new Terms.

For material changes, we will make reasonable efforts to provide notice, such as posting a prominent announcement on our website.
